1) Contest Entry Period: Firestone “Fleets We Depend On” Contest (the “Contest”) begins 12:00:01 a.m. Central Time (“CT”) on March 18th, 2019 and ends 11:59:59 p.m. CT on July 31st, 2019 (the “Entry Period”). Bridgestone Americas Tire Operation’s (“Sponsor”) clock is the official “timekeeper” of this Contest.

2) Eligibility: No purchase necessary to enter or win. Contest is open to legal residents of the United States and Canada (excluding the Province of Quebec), who are: (1) 18 years of age or older or (2) the age of majority in their primary jurisdiction of residence, whichever is older as of date of Nomination (“Nominator” or “Entrant”) to nominate owner operators, drivers, subcontractors and fleet owners at least 18 years old in good standing with Sponsor (“Subject”). Employees of Bridgestone Americas Tire Operations, LLC, Bridgestone Canada Inc. (collectively, the “Sponsor”), their parent, subsidiary, and affiliate companies and advertising and promotions agencies, including ITA Group, Inc. (the “Administrator”), and members of their immediate families (spouses, parents, children and siblings and their spouses) and/or those living in the same household of each are not eligible to enter. Void in the Province of Quebec and where prohibited or restricted by law. All applicable federal, state, provincial, municipal and local laws and regulations apply.

3) How to Enter: The Contest consists of two (2) phases; a nomination phase (“Nomination”), and winner selection phase to determine the Winner. During the Entry Period, you may enter the Contest by visiting www.fleetswedependon.com (the "Contest Site") and following the directions to register. Nominate a Subject who works for a fleet that you depend on. Pick a Subject who goes above and beyond to be dependable in their community or that you feel has gone above and beyond the call of duty to deliver on their service or promise to their customers, or to you specifically as the Nominator.

The submitted nomination requires specific information about the Subject, and should include content describing in detail why the Subject should be recognized, how the Subject delivers, and compelling reasons why the Subject deserves to win.

You may upload three (3) unique photos of, or related to, the nominated Subject (the Nomination and photos collectively, the “Nomination”). The Nomination must: 1) be complete to be eligible; 2) include a description of why the Subject should win, and up to three (3) photos that comply with the requirements set forth in these Official Rules; 4) be your own original work (DO NOT COPY THE WORKS OF OTHERS IN SUBMITTING ANY CRITERIA OF THE NOMINATION). Nominations must be in compliance with the Content Guidelines below and as set forth on the Contest Site (The Guidelines on the Contest Site are incorporated herein by reference and made a part of these Official Rules.) The photos must be in color, .jpeg format. Any file size restrictions will be detailed on the submission form. All components of a Nomination must be submitted together at one time in the same online session.

Content Guidelines

Please make sure to note the following requirements for your photos/Nomination:

• Photos/Nomination may depict, identify and otherwise reference individuals provided that (a) such individuals are involved in the activities of the nominated Subject or otherwise associated with the operation/functioning of the nominated Subject (e.g., officers, directors, employees or volunteers of the nominated Subject and the fleet where they are employed and (b) Entrant secures the written consent of each such individual (if individual is a minor in his/her jurisdiction of residence, such individual’s parent or legal guardian) and Subject prior to submission of photo/Nomination with the understanding that Sponsor may condition the nominated Subject being declared a potential winner upon Entrant timely providing Sponsor or its agent with satisfactory written proof of securing such written consent(s).

• Photos/Nomination must not have been submitted previously in a contest of any kind or otherwise been used by Entrant or any third party for any commercial, advertising or like purpose.

• If the Subject is depicted/identified/referenced in photos or Nomination, the Subject must be currently an employee, subcontractor, or owner-operator of the Fleet; Nomination must have been written specifically for this Contest.

• Photo/Nomination must not have won any previous prize/award.

• Photos/Nomination must be truthful in all material respects (to the best of Entrant’s knowledge and belief). Excessive use of photo-editing software is strictly prohibited; any factual statements made in Nomination must be accurate to the best of Entrant’s knowledge and belief and Nomination must reflect the honest opinions of Entrant.

• Photos/Nomination must not contain content that is known by you to be false, inaccurate or misleading.

• Any photo/Nomination deemed inappropriate or unsuitable, in Sponsor’s sole discretion, will be disqualified. Photo/Nomination must not contain material that is inappropriate, indecent, profane, obscene, hateful, tortious, defamatory, slanderous or libelous (including words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group).

• Photos/Nomination must not contain criminal or tortious activity, including but not limited to fraud, trafficking of obscene material, drug dealing, drug use, or gambling. Photos must not contain material that is unlawful, in violation of or contrary to all applicable local, municipal, provincial, state, federal, or international laws and regulations. Any blatantly illegal or suspected illegal content will be turned over to the proper authorities.

• Photos/Nomination must not feature beer, wine, distilled spirits (i.e., hard liquor, malt beverages), tobacco products (including cigarettes, cigars, pipe tobacco, chewing tobacco and snuff), firearms and ammunition, prescription drugs, illegal drugs and related drug paraphernalia, nutritional supplements, lotteries and gambling.

• Any photo/Nomination or portion thereof that is, in Sponsor’s sole discretion, obscene, profane, lewd, defamatory, contains any third-party materials or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased or entity or makes reference to any commercial/corporate advertising (including but not limited to corporate logos, brand names, slogans, political, or religious statements), or is otherwise objectionable, will not be accepted (or posted) and may disqualify the Entrant. For the avoidance of doubt, the failure of Entrant to secure a written consent form from individuals depicted/identified/referenced in his/her photos/Nomination constitutes a violation of the preceding provision.

• Photos/Nomination must not include any anti-social, political or religious groups, any commercial solicitation or promotional materials or name, address, phone number, or URL address. Photos/Nomination must not contain advertisements, personal solicitations or commercial solicitations.

• Photos may not be owned, taken or edited by a professional photographer.

• Photos/Nomination must not contain viruses, worms, bots, spyware or any other computer code that is intended to damage, interfere with, or surreptitiously intercept or expropriate any system, data or information.

• Nominations must be in keeping with Sponsor's image as determined by Sponsor, in its sole discretion. Photos/Nomination must not disparage Sponsor, its products or organizations associated with Sponsor.

Submitted Nomination, including Nomination and photos, may be posted on the Contest Site after the Entry Period. Should Sponsor choose to post Nominations which are not Winner Nominations (a Winner Nomination being defined below), such Nominations may be posted on the Contest Site or elsewhere (e.g., a web site other than the Contest Site) in a pattern, format, sequence or arrangement of Sponsor’s sole choosing, which may be varied and/or edited one or more times by Sponsor; Nominations will be attributed to Entrants in a manner of Sponsor’s sole choosing. Posted Nominations represent solely the opinions of Entrant, not those of Sponsor. Sponsor further disclaims any liability in conjunction with screening, reviewing or monitoring posted Nominations.

Entrant grants to Sponsor a worldwide, royalty-free, perpetual, non-exclusive right and license to copy, distribute, and display each submitted Nomination and any associated content (as applicable), in any media, and with right to use, copy, modify, edit, and create derivative works there from, and agrees to execute documents confirming such right and license at Sponsor’s request and without compensation of any kind. Entrants shall have no right to review or approve edits, alterations, or modifications. By entering, you acknowledge and understand that your Nomination and associated content (if applicable) (or portion thereof) may be posted online, in Sponsor’s sole discretion, to be viewed and voted on by members of the general public. Entrants may not copy or otherwise plagiarize any portion of the Nomination from any source. Entrants agree that they will not use any part of the Nomination, including the photos, during the Nomination Period for any other public or commercial purpose, including, without limitation, posting any part of the Nomination to any other online social networks, without the express consent of Sponsor in each instance (and, such consent may be granted or withheld by Sponsor in its sole discretion). Sponsor has the sole discretion to determine whether a Nomination complies with these Official Rules. The same Subject may be submitted by multiple Entrants. However, each Nomination for the same Subject must be unique and a Subject may only be a Winner once; see Rule 4a for details. There is a limit of one (1) Nomination per person/email address for the entire Entry Period. Multiple Nominations from any one (1) individual/email address will result in only the initial Nomination being accepted and all additional Nominations from such individual/email address will automatically be disqualified. However, should Sponsor or Administrator determine that a given Entrant has engaged in blatant, repeated, or egregious violations of the aforementioned Nomination limit, Sponsor reserves the right to disqualify such Entrant and perhaps Subject/Entities nominated by such Entrant from this Contest and to otherwise take any actions deemed necessary and appropriate in its sole discretion so as to preserve its legal rights. All Nominations must be received by 11:59 p.m. CT on July 31st, 2019, to be eligible.

Entry information is received by Sponsor subject to Sponsor’s privacy policy posted at https://commercial.bridgestone.com/en-us/privacy-policy. Entry information from online entries at the Contest Site is received by Administrator and will be used by Administrator solely to administer this Sweepstakes, but may also be shared with Sponsor for use by Sponsor pursuant to Sponsor’s own privacy policy referenced above.

Please Note: If selected as the Winner (as described below), the Subject will be required to obtain written confirmation (in substantially the form as required by Sponsor) from a local official with the appropriate authority, that the Fleet where the Subject is employed will allow participation in this Contest and will allow receipt of a prize (as described more completely below in Rule 5). Such written consent must be received by Sponsor/Administrator within (5) days of notification attempt, along with Affidavit of Eligibility, Release of Liability/Prize Acceptance Form and a Publicity Release for Winners (or a Declaration of Compliance for Canadian Winners). Sponsor recommends that Entrant investigate and determine who is the appropriate local official for the applicable Fleet and obtain preliminary consent from such local official and confirm that the Subject ( if employed with the Fleet) can win the award prior to submission of Nomination in the event that his/her Nomination is selected as a potential winner. Sponsor may assist potential winner in satisfying this requirement; the decision as to whether to assist and the nature of such assistance being made by Sponsor in its sole discretion and without liability of any kind. Notwithstanding such assistance by Sponsor (if any), it is the potential winner’s sole responsibility, as a condition of continued eligibility to secure such consent and submit same to Sponsor/Administrator by the indicated deadline.

Ω If Subject is an employee of a commercial trucking business, he/she agrees to use commercially reasonable efforts to assist Sponsor in securing such rights from the commercial trucking business.

4) Winner Determination:

Any attempt by an Entrant, Subject, or Fleet or other individual to manipulate or undermine the integrity of the judging as determined by Sponsor in its sole discretion will result in disqualification, with the understanding that disqualification shall not represent the sole remedy available to Sponsor. Entrants, Subjects and Fleets are prohibited from influencing judging by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the Administrator, as determined by Sponsor in its sole discretion.

At the conclusion of Contest, Nominations will be judged by a panel of judges selected by Sponsor, and one Winner will be selected based on the following criteria:
a. Overall story as stated in Nomination and photos (50%);
b. Most compelling reasons described in Nomination and photos as to how the identified Subject has gone above and beyond to deliver and be dependable (50%);

In the event of a tie, tied Nominations will be reviewed based solely on "Most deserving of winning based on how the Subject has delivered and been dependable as stated in Nomination and photos (100%). Decisions of Sponsor are final and binding with respect to all matters relating to this Contest. The determination of the Winner will take place at the Sponsor’s headquarters in Nashville, TN, or at another location of Sponsor’s sole choosing.

5) Winner Notification:The potential winner will be contacted via phone and/or email within twenty-four (24) hours after the Final Judging Round process is completed. Phone messages will not be left with the potential winner. The potential winner will then be required (except where prohibited by law) to sign and return via email or first class mail, an Affidavit of Eligibility, Release of Liability/Prize Acceptance Form and a Publicity Release (or a Declaration of Compliance if the potential winner is located in Canada) within five (5) calendar days of notification attempt, and if the potential winner fails to complete such Affidavit and Release or Declaration, or elects not to complete the foregoing, then the prize will be forfeited and an alternate potential winner will be determined and notified, time permitting. In addition, as noted in Rule 3 above, the Subject who is the potential winner must provide documentation from the appropriate local official responsible for the applicable Fleet that will include a statement that the nominated Subject is eligible to participate in this Contest and, if determined to be a Winner, that such official will work with the Sponsor and its designees to facilitate receipt of prize (collectively with the Winners’ Affidavit/Declaration/Assignment/Release, and tax information, the “Required Forms”). Sponsor reserves the right in its sole discretion to require additional forms/information in connection with determination of the Winner. All Required Forms must be returned fully-executed within five (5) calendar days of date of issuance. Failure to return all Required Forms within five (5) calendar days of date of issuance, the return of any notification as undeliverable or noncompliance with these Official Rules may result in the potential winner being disqualified and, at Sponsor’s sole discretion an alternate may be determined and notified, time permitting. Potential winner may, in Sponsor’s sole discretion, be required to submit additional content regarding the potential winner and the Fleet where they are employed or with whom they are associated, such as additional photos of potential winner, the applicable Fleet, photo captions, and/or clarifying additional written materials (“associated content”) prior to Winner selection. All taxes on prizes are the sole responsibility of Winner. Winner will be issued an IRS 1099 Tax Form reflecting the fair market value of the prize; and, Winner agrees to fully cooperate with Sponsor relative to its reporting of prize award to the Internal Revenue Service, including provision of his/her Social Security Number in conjunction therewith (for US Winners only, prizes are not taxable as income in Canada.).

Sponsor has sole discretion and authority to vet all nominations for truthfulness. Any nomination determined to be untrue will be automatically disqualified.

6) Prize and Approximate Retail Value (“ARV”):

Winner Prize will be awarded by Sponsor/Administrator directly to the winning Subject only and will not be awarded to the corresponding Entrant personally (i.e., the individual who nominated the Winning Subject will not win a Prize as described below). Entrants (i.e., the individual who nominated Winning Subject) cannot claim any charitable deduction or tax benefit in conjunction with Sponsor’s award of Prize to a Subject. AWARD OF A PRIZE TO A SUBJECT IS SUBJECT TO APPLICABLE LAWS, REGULATIONS, AND POLICIES OF SUBJECT’S EMPLOYER REGARDING RECEIPT OF GIFTS, PRIZES AND AWARDS FROM THIRD PARTY ENTITIES.

Wining Subject is responsible for all taxes and fees as required by Law.

Grand Prize (1): One Subject will be selected as a Winner and will win a prize valued at USD$10,000. Half of the prize (USD$5,000) will be issued via pre-paid award card to the Subject and half of the prize (USD$5,000) will be directly given in the Subject’s name to the charity of their choosing.

Sponsor reserves the right to vet all charities and reserves the right to refuse a charity for any reason, and require Subject to select a different charity at Sponsor’s discretion.

Total ARV of all prizes: USD$10,000/Estimated CD$13,242. The currency of all prizes will be based on the winning Subject’s country of residence. Residence shall be based on where the Winner normally resides at the time of Nomination as determined by Sponsor in its sole discretion. Final prize payout for non-US Winner will be calculated based on current exchange rates.

Prize Restrictions: Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winning Subject is responsible for applicable federal, state, local, provincial and municipal taxes (if any) and all other costs and expenses associated with their prize not specified herein as being awarded. No transfer, resale, substitution or cash equivalent permitted by Winner. Sponsor reserves the right, at their sole discretion, to substitute a prize with one of comparable or greater value should prize become unavailable for any reason. Sponsor, Administrator, and their respective parent companies, affiliates, subsidiaries, agencies and representatives, and their respective directors, officers, shareholders and employees are not responsible and shall not be liable for any property loss, damage, personal injury, or death, in connection with the prize provided pursuant to the Contest and/or any person’s participation in the Contest. Acceptance of prize constitutes permission for the Sponsor and its agencies to use Subject’s name, Nomination, photos, comments, likenesses, associated content and if applicable, any possible footage, photographs and video of the prize (subject to grant of rights from official representative of Fleet where Subject is employed) for purposes of advertising and trade without further compensation, unless prohibited by law; and, Winners agree to confirm such permission in writing at Sponsor’s request without further compensation. For the avoidance of doubt, the preceding provision applies both to the individual Winner and the Fleet where they are employed or with whom they are associated.

7) Limitations on Liability:Sponsor, Administrator, and their respective parent companies, affiliates, subsidiaries, agencies and representatives, and their respective directors, officers, shareholders and employees are not responsible and shall not be liable for failure to supply a prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasigovernmental entity {whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid}, equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond their sole control.

8) General Rules: By participating in the Contest, Entrants, Subjects and Fleets agree to be bound by these Official Rules and the decisions of the Administrator and Sponsor. Nominations and associated content becomes the property of the Sponsor. In the event of a dispute as to ownership of any Nomination, the authorized account holder of the account used to register will be deemed to be the Entrant. “Authorized account holder” is defined as the natural person who is assigned to an email address by an internet access provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Winners may be required to show proof of being the authorized account holder of the account associated with the Nomination. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest materials and the terms and conditions of the Official Rules, these Official Rules shall prevail, govern and control. The Sponsor, Administrator and their respective parents, subsidiaries, affiliated companies, agents, retailers, advertising and Contest agencies, and all of their respective shareholders, officers, directors, employees and assigns, members, representatives and agents, as well as Facebook, Instagram, and other social media platforms (collectively, “Releasees”), are not responsible for any incorrect or inaccurate Nomination information; human errors; technical/Contest Site malfunctions; failures, omissions, interruptions, deletions, problems, errors or defects of any telephone network, computer online systems, computer equipment, cable, satellite, servers, Internet Service Providers (ISP), or software, including, without limitation, any injury or damage to Entrant’s, Subject’s, Fleet’s or any other person’s computer relating to or resulting from participation in the Contest; inability to access the Contest Site or any web pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of Nominations; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer, mechanical, network, electronic or other malfunctions or traffic congestion on telephone lines or the Internet or any web site (including the Contest Site) or for any other reason whatsoever; or for other errors or problems, whether mechanical, technical, network, typographical, printing, human or otherwise, including, but not limited to, errors or problems which may occur in connection with the administration of the Contest, the submission or judging of Nominations, the posting of Winning Nominations and any associated content (as applicable), the announcement of the prizes or in any Contest-related materials. Proof of entering information at the Contest Site is not considered proof of delivery or receipt. False, fraudulent or deceptive Nominations or acts shall render Entrants ineligible (and all associated Nominations will be void). The Sponsor reserves the right at its sole discretion to disqualify all Nominations of any individual who tampers or attempts to tamper with the Nomination process or the operation of the Contest or Contest Site; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest or Contest Site may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s/Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest or Contest Site, then the Sponsor reserves the right at its sole discretion to cancel, modify or suspend the Contest and judge all eligible Nominations against the judging criteria listed in Rule 4a, to determine the potential winners and the Winner, prior to Sponsor’s action or to otherwise make the prizes available to be won in a manner deemed by Sponsor in its sole discretion to be fair, appropriate and consistent with these Official Rules. Notice of such action by Sponsor will be posted on the Contest Site. By participating in the Contest and accepting a prize, every Entrant, Subject, and Fleet agrees to indemnify and hold Releasees harmless against any and all claims and liability arising out of use of prize and will have no liability whatsoever for, and will be held harmless by Entrant for any liability for, any bodily injury, loss, cost or damages of any kind to persons, including death and property, damages sustained due in whole or in part, directly or indirectly, from Nomination creation, the acceptance, possession, use or misuse of the prize or participation in the Contest or participation in any Contest or related activity. By entering the Contest, you hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents. This promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook or Instagram.

9) Governing Law & Venue: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participant and Sponsor and/or Administrator in connection with the Contest shall be governed by and construed in accordance with the internal laws of the State of Tennessee including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions (of Tennessee or any other state/jurisdiction) that would cause the application of any other state's or jurisdiction's laws. Any and all disputes relating to the running of the Contest in the U.S. will be resolved in the appropriate courts in the county of Davidson, state of Tennessee in the U.S.. Any and all disputes relating to the running of the Contest in Canada will be resolved in the courts of the Province of Ontario. To the fullest extent permitted by law, by participating in the Contest, Entrants agree to the personal jurisdiction of such courts; waive any right of change of venue, forum non conveniens or like right; agree to bring any action regarding the Contest individually (not as part of a class action); and agree that their recovery shall be limited to actual out-of-pocket costs incurred in participating in the Contest (if any) and waive any and all damages (including but not limited to compensatory, punitive, consequential or incidental damages) as well as any right to attorneys’ fees.

10) Winners List: For a list of winners, mail a self-addressed, stamped envelope to: Fleets We Depend On, Winner Request, 4600 Westown Parkway, West Des Moines, IA 50266. Winner list will be available after September 30, 2019. Requests must be received by October 31, 2019.
